Confidentiality & IP Protection Agreement

"Client" means any individual or organization holding a workspace on the Fenicher platform.

"Platform" means the Fenicher SaaS application and all associated services at fenicher.com.

"Digital Assets" means all 3D models, design files (.blend, .obj, .fbx, .glb, and similar), renders, images, videos, product photography, brand materials, technical drawings, and any other files uploaded by the Client.

"Confidential Information" means Digital Assets, product specifications, pricing data, client lists, business strategies, and any non-public information provided by the Client.

"Fenicher Team" means employees, contractors, and assigned artists operating under Fenicher.

All Digital Assets uploaded by the Client to the Platform remain the sole and exclusive property of the Client at all times. Fenicher claims no ownership, co-ownership, or license rights over Client Digital Assets beyond what is strictly necessary to deliver the services described herein.

Render outputs, 3D models, catalogs, configurator files, and any derivative works produced by the Fenicher Team for the Client are owned entirely by the Client upon delivery and full payment.

Fenicher retains ownership only of the Platform software, infrastructure, and proprietary rendering pipeline technology.

Fenicher agrees to:

• Keep all Client Confidential Information strictly confidential
• Never sell, license, transfer, or disclose Client Digital Assets or Confidential Information to any third party
• Not use Client Digital Assets for any purpose other than delivering the agreed services (rendering, modeling, catalog production, AI-assisted services)
• Not use Client designs, renders, or 3D models to train AI models, publish marketing materials, or for any commercial purpose without express written consent
• Restrict access to Client workspaces to authorized Fenicher team members only — specifically those assigned to the Client's retainer contract

Client Digital Assets are stored on Vultr Object Storage (Singapore region, ISO/IEC 27001-aligned data center). Storage is:

• Access-controlled with scoped S3 credentials per workspace
• Encrypted in transit via TLS 1.3
• Accessible only through authenticated, time-limited presigned URLs
• Never exposed publicly unless the Client explicitly enables public sharing

Fenicher maintains database backups with a 7-day retention window. Backups are encrypted and stored separately from production systems.

All Fenicher team members with access to Client workspaces are bound by internal confidentiality agreements that mirror the obligations in this document. Artists assigned to a Client retainer:

• May only access the workspaces they are explicitly assigned to
• May not copy, download, or retain Client Digital Assets beyond what is necessary for the assigned render job
• May not share, discuss, or publish any Client materials

Violation of these obligations by a Fenicher team member will result in immediate termination and may be subject to legal action.

Fenicher explicitly commits that Client Digital Assets, renders, product images, and any content within a Client workspace will never be used to train, fine-tune, or improve any AI or machine learning model — including Fenicher's own AI features — without the Client's explicit written consent.

AI features within the Platform (e.g., AI brief parsing, product description generation) process Client data transiently and do not retain or store it for model training.

Upon termination of a Client's workspace or written request, Fenicher will:

• Delete all Client Digital Assets from object storage within 30 days
• Remove all workspace data from the production database
• Purge backups containing Client data within the backup retention window

The Client may request an export of all their data before deletion at no additional charge.

This Agreement is effective from the date of digital signing and remains in force for the duration of the Client's engagement with Fenicher plus 5 (five) years thereafter.

The confidentiality obligations in Sections 3, 5, and 6 survive termination of the engagement indefinitely.

This Agreement is governed by the laws of the Republic of Indonesia. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through the courts of Jakarta, Indonesia.

By clicking "I agree and sign" below, the authorized representative of the Client workspace confirms they have read, understood, and agree to be bound by this Confidentiality & IP Protection Agreement on behalf of their organization.

This digital signature carries the same legal weight as a handwritten signature under Indonesian Electronic Information and Transactions Law (UU ITE No. 11/2008 as amended by No. 19/2016).
